EULA - End User License Agreement

This is a legal agreement between you and ENC Security Systems Inc. ("ENC") covering your use of Encrypt-Stick ™ (the "Software"). Be sure to read the following agreement before using the Software. BY USING THE SOFTWARE (REGARDLESS IF YOU HAVE REGISTERED THE SOFTWARE OR NOT), YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE AND DESTROY ALL COPIES IN YOUR POSSESSION.

LICENSE GRANT. Subject to the terms of this Agreement, ENC hereby grants Licensee a limited, personal, non-sub-licensable, non-transferable, non-exclusive license to use the software that Licensee is about to download, install or otherwise access ("Software") for Licensee's personal use in accordance with this Agreement and ENC's Terms of Service.

The Software and its related documentation are provided "AS IS" and without warranty of any kind and ENC expressly disclaims all other warranties, expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Under no circumstances shall ENC be liable for any incidental, special, or consequential damages that result from the use or inability to use the Software or related documentation, even if ENC has been advised of the possibility of such damages. In no event shall ENC's liability exceed the license fee paid, if any.

The Software is owned by ENC and is protected by Canadian and United States copyright laws and international treaty provisions. Therefore, you must treat the Software like any other copyrighted material. Paying the license fee allows you the right to use one copy of the Software. You may not modify, adapt, translate, reverse engineer, or disassemble the Software. The Software is for personal use only. Resale of the Software, in any form, in whole or in part, is strictly prohibited. If you violate any part of this agreement, your right to use this Software terminates automatically and you must then destroy all copies of the Software in your possession.

This agreement shall be governed by the laws of the Province of British Columbia, Canada. If, for any reason, a court of competent jurisdiction finds any provision of the Agreement or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.

This Agreement supersedes all prior agreements, whether written or oral, with respect to the Software, and may be amended only in writing signed by all parties.

Notice to U.S. Government End Users. The Software and Documentation are "Commercial Items," as that term is defined at 48 C.F.R. ß2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. ß12.212 or 48 C.F.R. ß227.7202, as applicable. Consistent with 48 C.F.R. ß12.212 or 48 C.F.R. ßß227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.
